This model contains a range of plants for thermal and/or mechanical waste treatment. The input variables are the factors that determine variable and fixed costs, specifically replacement investments, manning requirements and consumption of operating supplies as well as revenues for energy and products. This tool can be applied further by our client for tariff simulation, long-term CAPEX forecasting and taking decisions on technology selection.

The target portfolio includes 18 waste incineration plants in Germany, the Netherlands and Luxembourg. The consultancy services for the transaction involved the evaluation of power plant systems, the analysis of environmental issues, risk assessments and their quantification as well as the formulation of an OPEX / CAPEX model as a contribution for the financial model of the investor. FMC used as in other M & A projects in this buyer counselling the usual M & A instruments such as data space, Q & A sessions, expert sessions or advisor calls with the other disciplines. A Red Flag Report and a Bankable due diligence was submitted. For basics of due diligence was the evaluation of Technical and Environmental Vendor Due Diligence Reports, Financial and Legal Vendor Due Diligence reports and the analysis of the vendor model. The established by FMC OPEX / CAPEX model was integrated into the financial evaluation model of investment banking to our customers.

As part of the assignment, FMC conducted an environmental and social scoping study as well as a review + gap analysis of the land acquisition and resettlement process already undertaken for the project. The project’s MSW handling capacity was 600,000 t/a.

For this our experts examined the development of the legislative framework, the breakdown of the gas volumes into segments, as well as the development of energy prices for alternatives to natural gas and the market prices of gas for each segment.

The project aim was to undertake an institutional analysis study for the Ministry of Mineral Resources. The services FMC provided were the institutional review of functions of the Ministry, INP (regulatory) and ENH (national hydrocarbon company), and an inventory of facilities and equipment required to implement the institutional reform. In addition, to Maputo based MIREM and INP units and ENH, the audit comprised the visit and evaluation of at least the Provincial Directorates of Nampula, Tete, Manica and Niassa (for mining) and current/ proposed provincial department of INP in Pemba.

Task of the report was to review the security of supply, organizational security and the economy and identify concrete recommendations for future water supply. As a result, a roadmap for a merger of 6 water utility was prepared to a special purpose association, an investment program for a composite system was proposed and a rough calculation for future price of water was conducted.

The aim of the consortium was to ensure the security of supply in the first place. The 6 suppliers operated individually and with their own staff. FMC initially analyzed in detailed the inventory of the 6 water utilities and then investigated the possibilities of further cooperation and economic optimization. One of the goal-oriented options consisted of a fusion of syndicates ZWUS and ZV Haslach and the affiliation of the Municipality Waterworks to the merged association. In several follow-up projects for the city of Tettnang and the municipality Meckenbeuren this option was further detailed, by a comparative assessment of the fixed assets of ZWUS and Meckenbeuren.

The study consisted of three phases: a clarification of the investment strategy and technology / country selection; a rough evaluation of participation projects; a review of selected projects. For suitable locations achievable energy yields were estimated based on each RES technology. Based on the specific investment costs and the expected potential revenues were also assessed. EBRD: Advice for small investment projects in MoldovaFMC acted as project consultant for the development and management of the Moldovan Sustainable Energy financing Facility (MoSEFF) with the aim of familiarizing local financial institutions, i.e. banks, with appraising and financing energy efficiency and small renewable energy investment projects, while local engineers were developing the technical expertise to identify, assess and prepare technically feasible and bankable projects. As an anticipated outcome, this facility is expected to develop, strengthen and establish a self-financing market for investments in sustainable energy projects in Armenia. With an available loan volume of around 40 mn EUR, the facility will furthermore significantly reduce primary energy consumption in the country and create financial savings in the implementing companies.

The second phase of the project consisted in the evaluation of the proposals, assistance to EETC in contract negotiations, finalization of the project agreements and support up to financial closing.

The outcome is a proposal for a district heating pricing formula incorporating price escalation with transfer of this pricing model to the municipal utility.

As a result, the outcome served as a basis for senior management to make a decision and also for price negotiations to extend the supply contract.

Furthermore, a benchmark-based approach was also applied to estimate the cost-reducing potential for the entire company. As a result, a new organizational structure was developed and cost-reducing potentials were identified for all core and ancillary processes, along with an evaluation of the benchmark findings together with the managers concerned in a series of workshops. On that basis, exploitable potentials and ways to implement these were also identified. FMC provided also assistance in presenting and communicating the project results in the political committees.

The services FMC provided was to analyze the impact of retirements of heat generators and then propose technical solutions for maintaining the heat supply. In a second step, these technical solutions, comprising high-capacity CHP plants, biomass-fired CHP plants and geothermal plants, were evaluated regarding their economic performance and the marketing of electricity and balancing of power. Furthermore, FMC investigated the profitability of a district heating storage facility in combination with the preferred options from the second step. As a result, these simulations served the client as a decision-making basis for potential investments.

The services FMC provided were support to the company in improving its commercial standing, services, environmental and social performance by assisting implementation of the necessary corporate, financial and operational improvements. In addition, FMC also helped the company in drawing up a medium-term corporate development plan and assisted the city council in implementing a public service contract.

As FMC is already active in Romania, Hungary, Slovakia, Bosnia, Serbia, supported the customer by conducting a market analysis, along with market entry strategies. Furthermore, FMC did project identification and developed an evaluation process to identify the potential “Best Case” projects for the power company in the conventional and renewable sectors.
